Terms and Conditions of Use Agreement

THIS IS A LEGAL AGREEMENT BETWEEN YOU ("YOU" OR "USER") AND AISHAUDIO, INC ("WE", "US", OR "AISHAUDIO") THAT STATES THE MATERIAL TERMS AND CONDITIONS THAT GOVERN YOUR USE OF THE AISHAUDIO DOWNLOAD SERVICE. THIS AGREEMENT, TOGETHER WITH ALL UPDATES, SUPPLEMENTS, ADDITIONAL TERMS, SOFTWARE LICENSES, PROMOTIONAL OFFER TERMS AND ALL OF AISHAUDIO, INC.'S RULES AND POLICIES COLLECTIVELY CONSTITUTE THIS "AGREEMENT" BETWEEN YOU AND AISHAUDIO, INC. BY ACCESSING THE AISHAUDIO DOWNLOAD SITE AND USING ANY OF THE AISHAUDIO DOWNLOAD SERVICE, YOU AGREE TO BE LEGALLY BOUND BY THIS AGREEMENT.

Definition of the Aishaudio Download.

Aishaudio, Inc. is the creator and provider of a service (the "Aishaudio Download") that permits users to select proprietary audio consisting of licensed and original audio content (collectively, the "Aish Content") through means including but not limited to (i) the Aishaudio Download Web site, aishaudio.com, and such other or successor domain names as may be operated, acquired, or used from time to time by Aishaudio, Inc. (collectively, "Aishaudio Download Site"), (ii) wired and wireless connections, and (iii) telephony based networks; and to playback such Aish Content on a computer or hardware device.

Requirements for Use of the Aishaudio Download.

The Aishaudio Download Service is for individuals over 18 years of age who can form legally binding contracts under applicable law. If you do not meet the foregoing or other applicable requirements, you may not use the Aishaudio Download Service.

Privacy Policy

Aishaudio's Privacy Policy is expressly incorporated herein by reference and made a part of this Agreement. Aishaudio, Inc. is committed to protecting the privacy of its users. We do not sell, rent, or otherwise disclose any personal information provided by users in connection with the purchase or download of MP3 class materials, except as required by law. All payment transactions are processed through secure third-party payment processors. Aishaudio, Inc. does not collect, store, or have access to any credit card numbers or related financial information submitted during the payment process.

Your Information

You agree to provide current, complete, and accurate information required to complete your registration with the Aishaudio Download Service and at other points as may be required in the course of using the Aishaudio Download Service ("Registration Data"). You agree to maintain and update Registration Data as required to keep it current, complete, and accurate. You shall not use a false or misleading name or a name that you are not authorized to use. If any information you provide is false, incomplete, or inaccurate, we may terminate your rights to any or all of the Aishaudio Download Service.

User Account, Password, and Security

As a registered user you may receive or establish one or more passwords and accounts ("Aishaudio Download Account(s)"). You are solely responsible for maintaining the confidentiality and security of your passwords and accounts and for all activities that occur on or through them. Notify us immediately about any unauthorized use.

Security, Cracking and Hacking

You shall not violate or attempt to violate the security of the Aishaudio Download Service. Violations may result in civil or criminal liability, and we may cooperate with law enforcement authorities in prosecuting users who participate in such violations.

Grants of Licenses

Aishaudio Download License.

When you purchase Aish Content, Aishaudio grants you a limited, revocable, non-exclusive, non-transferable license to download or stream such content solely for your personal non-commercial use. You shall not copy, reproduce, distribute, sell, transfer, modify, or publicly perform the Aish Content.

Site Access License.

Aishaudio grants you a limited, revocable, non-exclusive, non-transferable license to access and make personal non-commercial use of the Aishaudio Download Site. Unauthorized use automatically terminates the permissions and/or licenses granted by us to you.

Aish Plans, Gift Certificates and Programs

You agree to participate in one of the plans we offer for using and paying for the Aishaudio Download Service ("Aish Plans"). Plans include the Individual Plan and various Monthly Program Plans as described in our Policy on Aish Content Plans. Details on cancellation, upgrades, downgrades, and related fees apply as outlined in that policy.

Electronic Signatures and Contracts

YOUR ELECTRONIC SUBMISSIONS CONSTITUTE YOUR AGREEMENT AND INTENT TO BE BOUND BY AND TO PAY FOR SUCH AGREEMENTS AND PURCHASES. Your agreement and intent apply to all records relating to all transactions you enter into on this site.

Refund Policy

All sales of downloadable MP3 class materials through the Aishaudio, Inc. website are final. No refunds, exchanges, or credits will be issued once a purchase has been completed. Access to purchased downloads is available in the user’s Personal Library for two (2) months; members in good standing retain access for the duration of membership.

Intellectual Property

We reserve the right to remove or disable access to any Aish Content or materials that violate or allegedly infringe on the rights of others. All copyrights, trademarks, and other proprietary rights in the Aishaudio Download Service and Aish Content are owned by Aishaudio, Inc. and/or its suppliers and licensors.

Termination

Aishaudio, Inc. may terminate this Agreement, your account, or access to the service if you fail to comply with the terms. We may modify, suspend, or discontinue the service at any time with or without notice.

General Compliance & Governing Law

The Aishaudio Download Service is controlled and operated from the United States. You agree to comply with all applicable laws. This Agreement is governed by the laws of the State of New York, without regard to its conflict of law principles.

Arbitration

Any controversy or claim arising out of or relating to this Agreement or its breach (other than certain claims for injunctive relief) will be settled by arbitration in Monsey, New York, USA, under the applicable rules of the American Arbitration Association.

Changes

We may update, revise, supplement, or otherwise modify this Agreement and impose new or additional terms on your use of the Aishaudio Download Service at any time. Continued use following notice of changes constitutes acceptance.

Miscellaneous

This Agreement constitutes the entire agreement between you and Aishaudio, Inc. concerning the service and supersedes prior agreements. If any provision is found invalid, the remaining provisions remain in full force and effect.
